1. Who we are and what these Terms cover

Valley View Networks ("VVN", "we", "us", "our") is operated by Valley View Networks LLC, a company registered in the State of Texas, United States. VVN operates online and does not maintain a public office address.

These Terms & Conditions (the "Terms") are a binding agreement between you and VVN governing your access to and use of the VVN website at valleyviewnetworks.com, the VVN applications, Isaac (our AI assistant), and all related features and services (together, the "Platform").

By creating an account, accessing, or using the Platform, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Platform.

2. Eligibility and age

• You must be at least 16 years old to create an account and use the Platform. (16 is the default minimum under the EU GDPR; if you operate in a jurisdiction that sets a higher digital-consent age, that higher age applies to users there.)
• You must be at least 18 years old, or the age of legal majority where you live, to use any paid or monetization feature - sending or receiving gifts, paid Valley memberships, creator subscriptions, payouts, or the developer API tier - because these require the legal capacity to enter a payment contract.
• The Platform is not directed to children under 16, and we do not knowingly collect their data. If we learn that a user is under the minimum age, we may suspend or remove the account.
• By using the Platform you confirm you have the legal capacity to enter this agreement and that you are not barred from doing so under any applicable law.

3. Your account

• One identity, one account. Each verified identity may hold only one account. Creating duplicate accounts, or registering under another person's identity, is a violation of these Terms and may result in suspension.
• You are responsible for keeping your login credentials and any two-factor authentication (2FA) methods secure, and for all activity under your account.
• You agree to provide accurate information and to keep it up to date.
• You may sign in with email and password, or through a third-party provider (Google or Microsoft). When you use a third-party sign-in, that provider's own terms also apply to your use of their service.
• Tell us promptly at legal@valleyviewnetworks.com if you suspect unauthorized use of your account.

4. Identity verification

Certain features - including the platform verification badge and fact-checker credential approval (e.g. BSc / Master's / PhD) - require you to verify your identity through a third-party identity-verification provider (such as Persona, Stripe Identity, or Onfido).

• We do not store your government ID documents ourselves. The verification provider processes and stores them under its own compliance program, and we receive only the result (verified / not verified) and a reference identifier.
• Submitting forged, altered, or fraudulent identity documents is a serious violation and will result in account termination and possible referral to authorities.
• See the Privacy Policy for how verification data is handled, including under GDPR Article 9 (special-category data).

5. The Platform and its features

VVN is a professional operating system that combines a social layer (feed, profiles, Valleys, private messaging, search, and the collaborative Playground) with an intelligence layer (Isaac). Specific features may change, launch in phases, or be withdrawn. We may add, modify, suspend, or discontinue features at any time; where a change materially reduces a paid feature you are actively paying for, Section 9 (Payments) governs refunds and cancellation.

6. Isaac - our AI assistant

Isaac is VVN's AI assistant. Please read this section carefully.

• You are interacting with AI. When you engage Isaac, you are interacting with an automated AI system, not a human. Isaac is clearly identified as AI throughout the Platform.
• Isaac is always user-initiated. Isaac never joins a conversation, Valley, or private chat on its own. A participant must explicitly enable Isaac for a given session. Isaac's view of a conversation is limited to the messages from the moment it is enabled onward; it does not read messages sent before it was enabled, and disabling and re-enabling Isaac resets its context.
• What Isaac does. Depending on the feature, Isaac may: read and summarize conversations you enable it for, score "connection chemistry" between participants and send private nudges, co-generate shared plans and extract milestones, fact-check posts, rank search results, and surface opportunities.
• AI output is not guaranteed to be accurate. Isaac's summaries, fact-checks, scores, suggestions, plans, and other outputs may be incomplete, out of date, or wrong. You are responsible for independently reviewing and verifying any AI output before relying on or acting on it. Isaac's outputs are not professional, legal, financial, medical, or career advice.
• Automated decisions and profiling. Some Isaac features (such as connection scoring and fact-check verdicts) involve automated processing that may affect you. We disclose this, explain the logic in accessible terms in our Privacy Policy, and - where an automated decision significantly affects you - you may request human review by contacting legal@valleyviewnetworks.com.
• Third-party AI processing. Isaac is powered in part by a third-party AI provider (Anthropic). When you use Isaac, relevant content may be processed by that provider under its terms in addition to ours. We pass only the session-scoped content needed for the feature and do not send Isaac's private "catch me up" summaries for provider model training. See the Privacy Policy.
• Acceptable use of Isaac. You may not use Isaac to generate or attempt to generate content that is unlawful, infringing, deceptive (including impersonation or deepfakes of real people without consent), discriminatory, or otherwise in breach of Section 7. You may not input third-party personal data without a lawful basis, and you may not rely on Isaac outputs in regulated contexts without appropriate professional review.

7. Acceptable use and prohibited conduct

You agree not to, and not to help or permit anyone else to:

• Impersonate any person or organization, or misrepresent your affiliation;
• Create duplicate or fake accounts, or manipulate verification or credibility systems;
• Post or transmit content that is illegal, harassing, hateful, threatening, defamatory, obscene, or that exploits or endangers minors;
• Infringe anyone's intellectual property, privacy, or other rights;
• Spam, phish, scrape, or harvest data, or use bots/automated means except through our official, authorized API;
• Upload malware, attempt to breach security, bypass access controls, probe or test the vulnerability of the Platform without authorization, or interfere with its normal operation;
• Use the Platform to send unsolicited commercial messages or to circumvent payment, payout, or fee arrangements;
• Use AI features (Isaac) to produce content prohibited by Section 6 or this Section 7;
• Use the Platform in violation of any applicable law, sanction, or regulation.

We may remove content and suspend or terminate accounts that violate these rules. Where appropriate, content moderation may use automated tooling with human oversight.

8. Your content and licence to us

• You own your content. You retain ownership of the posts, comments, messages, profile information, documents, files, and other material you submit ("Your Content").
• Licence to operate the Platform. You grant VVN a worldwide, non-exclusive, royalty-free, sublicensable licence to host, store, reproduce, adapt (e.g. resize images), publish, and display Your Content solely to operate, provide, secure, and improve the Platform and the features you use - for example, showing your posts in feeds, delivering your messages, rendering your profile, and enabling Isaac on content you choose. This licence ends when you delete the content or close your account, except (a) for content others have shared or reposted, (b) where retention is required by law or for legitimate moderation/security, and (c) for residual backup copies cleared on our normal cycle.
• Public vs. private content. Content you post publicly (e.g. public posts, public profile fields, public Valley content) is visible to others and may be surfaced in search. Private messages are delivered to their participants.
• Feedback. If you send us suggestions or feedback, you grant us an unrestricted right to use it without obligation to you.
• Your responsibility. You are solely responsible for Your Content and represent that you have the rights to submit it and that it does not violate these Terms or any law.
• Removal. We may remove or restrict Your Content that we reasonably believe violates these Terms, is unlawful, or exposes VVN or others to liability.

9. Payments, monetization, and creators

Some features are paid. When they are available:

• Stripe. Payments and payouts are processed by Stripe, including via Stripe Connect for creator memberships, gifts, paid Valleys, and payouts. VVN never receives or stores your full card details. By using paid features, you also agree to the Stripe Services Agreement and, where you receive payouts, the Stripe Connected Account Agreement.
• Creator monetization. Creators may earn through recurring memberships and one-off gifts. Creators are responsible for the content and promises they make to members, for any applicable taxes, and for complying with these Terms.
• Recurring subscriptions renew automatically until cancelled. You may cancel from your account settings; cancellation takes effect at the end of the current billing period unless the law requires otherwise.
• Refunds. Except where required by law (including EU/UK consumer withdrawal rights) or expressly stated, payments and gifts are non-refundable. Your statutory consumer rights are not affected.
• Taxes. You are responsible for any taxes arising from your use of paid features or earnings, except taxes on VVN's net income.

10. Third-party services

The Platform integrates with third-party services to function, including (as applicable): Google and Microsoft (sign-in and calendar sync), and others described in the Privacy Policy. Your use of those integrations is also subject to the third party's own terms and privacy policies. We are not responsible for third-party services, and connecting them is your choice. You can disconnect integrations from your settings.

11. Intellectual property in the Platform

The Platform itself - including VVN and Isaac branding, logos, software, design, text, and other materials we provide (excluding Your Content and third-party materials) - is owned by VVN or its licensors and protected by intellectual property laws. We grant you a limited, personal, non-transferable, non-exclusive, revocable licence to use the Platform under these Terms. You may not copy, modify, distribute, reverse engineer, or create derivative works except as the law expressly permits.

Institution names and logos shown on the Platform belong to their respective owners and are used to identify organizations; their display does not imply endorsement.

12. Suspension and termination

• By you. You may stop using the Platform and delete your account at any time from settings. Account deletion follows the process in our Privacy Policy (including a grace period and erasure of personal data).
• By us. We may suspend or terminate your access, with or without notice, if you breach these Terms, create risk or legal exposure, or if required by law. Where reasonable and lawful, we will give notice and an opportunity to cure.
• Effect. On termination, your licence to use the Platform ends. Sections that by their nature should survive (e.g. content licence limited to what is necessary, disclaimers, liability limits, governing law, and accrued payment obligations) survive termination.

13. Disclaimers

• The Platform and all AI outputs are provided "as is" and "as available", without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted/error-free operation, to the maximum extent permitted by law.
• VVN is a professional networking and productivity platform. Nothing on the Platform - including Isaac's outputs, fact-checks, scores, opportunity suggestions, business plans, or credibility indicators - is professional, legal, financial, medical, employment, or investment advice, and you should not treat it as such.
• We do not guarantee any career outcome, connection, income, or result from using the Platform.
• Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law (for example, certain consumer rights, or liability for death or personal injury caused by negligence or for fraud).

14. Limitation of liability

To the maximum extent permitted by law:

• VVN will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business, arising out of or related to the Platform or these Terms, even if advised of the possibility.
• VVN's total aggregate liability arising out of or related to the Platform or these Terms will not exceed the greater of (a) the total amounts you paid to VVN in the twelve (12) months before the event giving rise to the claim, or (b) USD 100.
• These limits do not apply to liability that cannot be limited under applicable law, and they do not affect a consumer's mandatory statutory rights.

15. Indemnity

To the extent permitted by law, you agree to indemnify and hold harmless VVN and its officers, employees, and agents from claims, damages, liabilities, and reasonable expenses (including legal fees) arising from: (a) Your Content; (b) your use of the Platform in breach of these Terms or the law; or (c) your infringement of any third-party right. This Section is not intended to apply to consumers beyond what applicable law allows.

16. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will give you reasonable notice (for example, by email or an in-Platform notice) before they take effect. Your continued use after the effective date means you accept the updated Terms. If you do not agree, you should stop using the Platform and may close your account.

17. Governing law and disputes

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict-of-law rules. Subject to any mandatory consumer protections that entitle you to bring proceedings in your country of residence, the state and federal courts located in Texas will have non-exclusive jurisdiction over disputes.

18. General

• Entire agreement. These Terms and the documents they reference are the entire agreement between you and VVN about the Platform.
• Severability. If any provision is unenforceable, the rest remain in effect.
• No waiver. Our failure to enforce a provision is not a waiver.
• Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
• Notices. We may give notices via the Platform or to your account email.
